香港馬莎是全資擁有 抑或特許經營?

如題. 以前看過前兩三年的新聞, 話香港馬莎變為特許經營. 但近兩三年的公司年報
就指是全資擁有, 究竟邊個先係真? 香港分公司曾幾何時被人收購, 點解會有這個傳聞?
我Business Management個course寫本公司的外部同內部商業環境essay時, 令本人想不通.

香港分公司名稱: Marks & Spencer (Hong Kong) Limited
公司年報指出: ‘ Our international business is steadily growing, with wholly-owned store networks in the Republic of Ireland and Hong Kong, a network of 191 franchised stores in 30 territories, and Kings Super Markets in the US.’
